Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NGFIT precision-wellness platform (“NGFIT,” “Service,” “we,” or “our”) operated by NGFIT. By creating an account or using the Service, you agree to be bound by these Terms.

NGFIT is not a medical practice. We do not diagnose disease or medical conditions, prescribe medication, or replace the relationship between you and your physician. NGFIT is a wellness, coaching, and lifestyle-optimization service that works alongside your primary care provider. Always consult a qualified healthcare professional before making changes to your medication, exercise, or nutrition routine.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use NGFIT. By creating an account, you represent that you meet these requirements.

2. Your Account

  • Accounts are personal and non-transferable. One person, one account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • Notify us promptly at admin@ngfit.com if you suspect unauthorized access.
  • You agree to provide accurate information and to keep it current.

3. The Service

NGFIT provides:

  • A member dashboard with daily and weekly protocols (“My Tasks”), a personalized plan, a momentum score, and a news feed.
  • A coaching relationship with NGFIT staff who design, adjust, and review your protocols.
  • Optional integrations with third-party wearables, task managers, and calendar services. You authorize each integration individually through the third party’s OAuth flow.
  • Educational and lifestyle content.

We may update, add, or remove features at any time. We will give reasonable notice for material changes.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.
  • Share your account credentials, resell access, or use NGFIT to provide services to people who are not authorized members.
  • Attempt to interfere with, reverse-engineer, scrape, or compromise the Service or its integrations.
  • Upload content you do not have the legal right to share, including another person’s health data.
  • Use the Service in a way that infringes the rights of others or disrupts other members’ experience.

5. Coaching and Protocols — Not Medical Advice

Protocols, recommendations, and educational content provided through NGFIT are for general wellness and lifestyle-optimization purposes. They are not medical advice, diagnosis, or treatment. Do not delay, avoid, or disregard professional medical advice because of something you read or are told through NGFIT.

If you have or suspect a medical condition, consult your physician. In case of medical emergency, call 911 or your local emergency number.

6. Wearables and Third-Party Data

NGFIT may pull data from third-party services you connect (e.g. Oura, Polar, Whoop, Garmin, Withings, EliteHRV, Fitbit, Apple Health). You acknowledge that:

  • Data accuracy from these devices is the responsibility of the device manufacturer, not NGFIT.
  • NGFIT auto-completion of protocols based on wearable thresholds is a convenience, not a clinical judgment.
  • You may disconnect any integration at any time from your dashboard.

7. Subscriptions and Billing

NGFIT offers paid tiers (NGFIT Single, NGFIT Focus, NGFIT Full). Subscription pricing, billing frequency, and cancellation policy will be clearly disclosed at checkout when paid enrollment launches. Payments are processed by Stripe; you agree to their terms in addition to ours.

You may cancel a paid subscription at any time, effective at the end of your current billing period. Refund policies, if any, will be disclosed at checkout.

8. Intellectual Property

NGFIT’s content, branding, software, protocols, and documentation are owned by NGFIT and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use NGFIT for your personal wellness purposes.

Content you upload (lab results, notes, photos, transcripts) remains yours. You grant NGFIT a limited license to use it solely to deliver the Service to you.

9. Termination

You may close your account at any time by emailing admin@ngfit.com or from your account settings (when that feature is available).

We may suspend or terminate your account for material breach of these Terms, non-payment, prolonged inactivity, or as required by law. Upon termination, your access ends; data handling follows our Privacy Policy.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. NGFIT does not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. NGFIT does not warrant any specific health, fitness, or wellness outcome.

11. Limitation of Liability

To the maximum extent permitted by law, NGFIT, its owners, employees, and contractors shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. NGFIT’s total aggregate liability for any claim arising out of or related to the Service shall not exceed the greater of (a) the amount you paid NGFIT in the twelve months preceding the claim, or (b) one hundred dollars (US$100).

12. Indemnification

You agree to indemnify and hold NGFIT harmless from any claim, loss, or damage arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association, administered in Ohio, except that either party may seek injunctive relief in a court of competent jurisdiction. You and NGFIT waive any right to a jury trial and to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify members by email or via an in-dashboard notice at least 14 days before the changes take effect. Continued use after changes take effect constitutes acceptance.
